Terms and Conditions of Image Licensing

1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern all access to and use of images, photographs, video clips, and related media content ("Content") licensed through ToadStock.com ("Agency", "we", "us", or "our") via our website at www.toadstock.com and any associated platform or service.
By purchasing, downloading, or otherwise using any Content from this Agency, you ("Licensee", "you", or "your") agree to be bound by these Terms. If you do not accept these Terms in full, you must not access or use any Content.
These Terms constitute a legally binding agreement. We recommend you retain a copy for your records.

2. Definitions

For the purposes of these Terms:
• "Content" means any photograph, image, illustration, video clip, or other visual media available through the Agency.
• "License" means the non-exclusive, non-transferable right to use Content as set out in these Terms and the applicable pricing profile.
• "Editorial Use" means use in a non-commercial context to illustrate or accompany factual news, press, or informational content, including newspaper articles, magazine features, and editorial blog posts.
• "Commercial Use" means any use that directly or indirectly promotes a product, service, brand, or commercial entity, including advertising, marketing, and promotional materials.
• "Rights-Managed (RM)" means a license with usage rights defined by specific parameters including duration, territory, medium, and circulation.
• "Royalty-Free (RF)" means a one-time-fee license allowing defined uses without recurring royalty payments.
• "Unauthorised Use" means any use of Content outside the scope of a valid, paid License.

3. License Types and Permitted Uses

3.1 Royalty-Free (RF) License

An RF License grants you a non-exclusive, worldwide, perpetual right to use the licensed Content within the parameters specified at the time of purchase. Permitted uses typically include:
• Website and digital media (non-advertising)
• Print publications such as books, brochures, and magazines
• Social media posts (non-sponsored)
• Internal business presentations
RF licenses do not grant exclusive rights. The same image may be licensed to multiple parties simultaneously.

3.2 Rights-Managed (RM) License

An RM License grants usage rights defined by specific parameters agreed at the time of purchase, which may include:
• Territory (e.g. United Kingdom, Europe, worldwide)
• Duration (e.g. one year, three years, perpetual)
• Medium (e.g. print, digital, broadcast, outdoor)
• Circulation or print run size
• Industry sector
Any use outside the agreed parameters requires a new or extended license. Contact the Agency to renegotiate before the expiry of your current license.

3.3 Editorial Use Only

Certain Content is designated "Editorial Use Only". This designation means:
• The image has not been cleared for commercial, promotional, advertising, or merchandising use.
• Use is restricted to factual, non-commercial contexts such as news articles, editorial features, documentary publications, and educational content.
• You must include the credit line as specified on the image page and in any delivered file metadata (e.g. "Photographer Name / Agency Name").
• You may not modify Editorial Use Only Content beyond minor technical adjustments such as cropping or resizing, provided the editorial context and integrity of the original are preserved.
• Use of Editorial Use Only Content in advertising, sponsorship, endorsement, or any commercial context is strictly prohibited, even under an Extended or RM License, unless prior written consent is obtained from the Agency and any relevant rights holders.
If you are uncertain whether your intended use qualifies as editorial, contact us before proceeding.

4. Restrictions and Prohibited Uses

Regardless of License type, you may not:
• Resell, sublicense, assign, or transfer Content or any rights to a third party without the Agency's prior written consent.
• Use Content as the primary or distinctive element of a trademark, logo, or brand identity.
• Use Content in a manner that is defamatory, pornographic, discriminatory, or otherwise unlawful.
• Use Content to misrepresent or falsely attribute statements to any person depicted.
• Use Editorial Use Only Content for commercial or promotional purposes (see Section 3.3).
• Remove, alter, or obscure any copyright notice, watermark, or metadata embedded in the Content.
• Use Content in a way that would bring the depicted person(s) into disrepute or constitute a violation of their rights.
• Share, publish, or distribute access credentials or download links with unauthorised third parties.
• Use Content in connection with gambling, adult entertainment, or illegal activities.
• Create AI training datasets or use Content to train machine learning models.

5. Model and Property Releases

Where Content depicts identifiable individuals or private property, the availability of model or property releases is indicated on the individual image page.
Content marked as Editorial Use Only typically does not carry model or property releases. It is your sole responsibility to determine whether any release is required for your intended use and to obtain it independently if so.
The Agency provides release information as a convenience only and makes no warranty as to the sufficiency of any release for your specific use.

6. Copyright and Intellectual Property

All Content remains the intellectual property of the respective photographer or rights holder and is licensed, not sold, to you. [YOUR AGENCY NAME] acts as a licensing agent and does not transfer any ownership rights.
You must include a credit line where specified in the License terms or on the image page. Failure to credit where required constitutes a breach of these Terms.
Nothing in these Terms grants you any right to use the Agency name, logo, or branding in any way.

7. Pricing and Payment

All prices are as displayed on the website at the time of purchase. Prices may be subject to applicable taxes.
Licenses are only activated upon receipt of full payment. No downloading or use of Content is permitted until payment is confirmed.
The Agency reserves the right to amend pricing at any time. Amendments do not affect Licenses already purchased.
Where a custom quotation is provided, it remains valid for 30 days from the date of issue unless otherwise stated.

8. Delivery of Content

Digital Content is delivered electronically following payment confirmation. The Agency uses reasonable endeavours to ensure prompt delivery but accepts no liability for delays caused by third-party services or technical issues outside its control.
It is your responsibility to download and retain a copy of licensed Content. The Agency does not guarantee indefinite availability of download links.

9. Unauthorised Use and Enforcement

Any use of Content without a valid License, or any use outside the scope of a purchased License, constitutes infringement of copyright and will be pursued accordingly.
The Agency reserves the right to invoice retroactively for unauthorised use at a rate of up to three times the standard License fee for the relevant usage, plus any legal costs incurred.
The Agency may use automated image-recognition services to detect and report unauthorised uses of its Content online.

10. Warranties and Limitation of Liability

The Agency warrants that it has the right to license the Content to you and that, to the best of its knowledge, the Content does not infringe any third-party copyright, provided you use it in accordance with these Terms.
The Agency does not warrant that Content is suitable for any specific purpose or that your intended use will not infringe third-party rights (for example, trademark rights in logos or brands depicted in images).
To the maximum extent permitted by law, the Agency's total liability to you in connection with any License shall not exceed the License fee paid for the Content in question.
The Agency is not liable for any indirect, consequential, or economic loss arising from your use of, or inability to use, Content.

11. Indemnity

You agree to indemnify and hold harmless the Agency, its photographers, and its officers from and against any claims, liabilities, damages, and costs (including legal fees) arising from:
• Your breach of these Terms;
• Your use of Content outside the scope of the License;
• Any claim that your use of Content infringes the rights of any third party.

12. Cancellations and Refunds

Due to the immediate digital nature of Content delivery, licenses are non-refundable once Content has been downloaded or accessed.
If Content has not yet been downloaded and you wish to cancel, please contact us within 24 hours of purchase. Refunds at this stage are at the Agency's discretion.
Incorrect or defective file delivery will be remedied by re-delivery of a corrected file. If re-delivery is not possible, a refund will be offered.

13. Amendments to These Terms

The Agency reserves the right to update or amend these Terms at any time. The current version will always be published on the website. Continued use of the Agency's services after any amendment constitutes acceptance of the revised Terms.
Amendments do not affect the terms of Licenses already purchased prior to the amendment.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
